Shares of Upwork (UPWK) plummeted 21.2% in after-hours trading on August 10, 2026, following the release of disappointing forward-looking projections that significantly undershot analyst expectations.
The freelance marketplace platform guided for Q3 2026 revenue between $176M and $184M, substantially below the Street’s $194M forecast. Additionally, full-year 2026 revenue guidance of $730M-$750M came in materially under consensus projections.
While second-quarter results technically exceeded expectations, the headline numbers masked underlying weakness. Adjusted earnings per share of $0.41 topped the $0.34 estimate, and revenue of $191.7M narrowly beat the $190.1M forecast.
However, deeper operational metrics painted a more troubling picture.
The platform’s active client base contracted to 763,000 from 796,000 in the same quarter last year, extending a pattern of declining engagement. Gross services volume decreased 4% on a year-over-year basis to $966.4M.
On a GAAP basis, net income retreated 22% to $25.4M, translating to $0.20 per diluted share versus $0.24 in the second quarter of 2025.
Adding to the uncertainty, Upwork’s CFO has been on temporary medical leave, requiring the CEO to assume financial oversight duties during this transitional period.
Artificial Intelligence and Search Engine Challenges
Company management highlighted that artificial intelligence automation solutions are intensifying competitive pressures on its freelance platform business. Upwork further disclosed that recent modifications to Google Search algorithms have diminished the performance of its search engine optimization tactics.
While these challenges aren’t entirely new, the company indicated the rate of disruption is accelerating.
Leading up to the earnings announcement, UPWK had already declined approximately 32% over the preceding six-month period, falling considerably from its 52-week peak of $22.84. The stock traded around $9.83 with a market capitalization of $1.21 billion.
Analyst Downgrades Price Expectations
Needham revised its price target on UPWK downward to $11 from $15 on August 11, while maintaining a Buy rating on the shares.
The investment firm lowered its 2026 adjusted EBITDA projection by 10% and slashed its 2027 estimate by 22%.
Needham emphasized substantial uncertainty stemming from the continued trend of downward estimate revisions. The firm nonetheless identified potential long-term growth drivers including Enterprise offerings, Business Plus subscriptions, and MCP-enabled agent workflows as justification for preserving the Buy recommendation.
According to InvestingPro analysis, the shares appear undervalued relative to Fair Value calculations, supported by robust gross profit margins of 77.5% and a “GREAT” financial health rating.
The wider equity market provided little support during the session. The S&P 500 finished essentially unchanged while the Nasdaq posted modest declines, as market participants awaited upcoming CPI and PPI inflation reports scheduled for release later in the week.
Despite the reduction, Needham’s updated $11 price target remains above the stock’s current level of $9.83.
