Shares of Robo.ai Inc. (AIIO) experienced significant downward pressure on Friday following the disclosure of a planned 1-for-25 reverse stock consolidation. The stock settled at $0.8635 during regular trading, representing a 10.80% decrease, before declining an additional 6.49% to $0.8075 in extended trading. The UAE-headquartered technology firm has set the consolidation date for November 6, contingent upon shareholder consent.
Extended Losses Push AIIO Below Key Threshold
The Nasdaq-listed equity suffered substantial losses throughout Friday’s trading session. Additional selling pressure during after-hours activity drove the Class B shares further beneath Nasdaq’s mandatory $1 minimum bid threshold. The company’s reverse split disclosure came shortly following the close of standard market hours.
According to the proposal, current shareholders would exchange 25 existing shares for each new share received. While the adjustment would arithmetically increase the quoted trading price, it would not alter the company’s aggregate market capitalization. Trading activity following the effective date may produce prices that deviate from the calculated adjustment.
The planned consolidation applies to both share classifications, encompassing the publicly traded Class B ordinary shares. The company intends to maintain its AIIO ticker symbol once adjusted trading commences on November 6. Additionally, Robo.ai has designated a new CUSIP identifier G6693P130 for its Class B shares.
Share Count to Decrease Substantially Under Proposal
Robo.ai currently has 13,817,501 Class A shares and 222,116,290 Class B shares in circulation. The consolidation would reduce these figures to roughly 552,701 and 8,884,684 shares, respectively. This represents a significant contraction in total share count.
The company anticipates the consolidation will impact shareholders uniformly across both classifications. Outstanding options, warrants, and convertible instruments subject to adjustment provisions would likewise be modified according to their respective terms. Ownership percentages would typically remain stable, except for potential fractional share settlements.
The plan includes raising the par value per ordinary share from $0.002 to $0.05. Concurrently, the initial consolidation would decrease authorized shares from two billion to 80 million. This structure maintains the company’s total authorized capital at $4 million.
Dubai Meeting Set for Late October Vote
Robo.ai has arranged an extraordinary general meeting for October 26 at the Meydan Grandstand facility in Dubai. Shareholders can alternatively join via online webcast and cast their votes electronically. Voting eligibility is limited to holders recorded as of October 14.
Class A shares command 25 votes each, whereas Class B shares carry one vote apiece. Beyond the consolidation, shareholders will evaluate a proposal to expand total authorized shares from 80 million to 385 million. This expansion would create 35 million authorized Class A shares alongside 350 million Class B shares.
The meeting agenda further includes approving updated corporate governance documentation reflecting the proposed capital modifications. The company previously executed a 1-for-20 reverse consolidation in April 2026 aimed at maintaining Nasdaq’s minimum bid standard. This new proposal emerges amid ongoing downward pressure on the company’s share valuation.
