This $40 billion credit arrangement stands as the Japanese conglomerate’s most substantial US dollar borrowing in its corporate history. SoftBank drew down $30 billion from this total and is now transitioning toward more permanent financing solutions.
The bridge facility carried no collateral requirements and was scheduled to reach maturity in March 2027. According to SoftBank, the capital was deployed primarily for OpenAI investments and related expenditures.
Founder and CEO Masayoshi Son has positioned artificial intelligence investment as the cornerstone of SoftBank’s corporate vision. The OpenAI transaction exemplifies his ambition to establish SoftBank as a dominant force in the worldwide AI ecosystem.
Debt Restructuring Strategy
According to Bloomberg Intelligence’s Kirk Boodry, SoftBank has been proactive about addressing the facility’s upcoming maturity. He emphasized that transitioning to bond financing would extend repayment timelines significantly, alleviating near-term financial stress.
SoftBank has scheduled investor discussions in New York during the upcoming week to assess appetite for a US dollar-denominated high-yield bond transaction. The proposed offering could reach between $10 billion and $20 billion, potentially featuring a euro-denominated component.
Throughout 2026, the company has already mobilized approximately $25 billion through international and Japanese bond markets plus margin lending arrangements. Separately, SoftBank is pursuing another $10 billion credit facility.
Recent developments include securing a $10 billion margin loan collateralized by its OpenAI holdings. These strategic maneuvers form part of a comprehensive initiative to reconfigure SoftBank’s capital structure toward more durable, extended-term arrangements.
Chief Financial Officer Yoshimitsu Goto indicated in August that management planned to begin refinancing the bridge loan ahead of its maturity date. He outlined various alternatives including syndicated credit facilities, bond markets, margin financing, and possible asset divestments.
Microsoft’s Connection to the Transaction
Microsoft serves as a crucial strategic partner supporting the OpenAI venture. The technology giant currently trades near $493.95 with a market valuation approaching $3.67 trillion.
Microsoft’s operations span three primary divisions: Productivity and Business Processes, Intelligent Cloud, and More Personal Computing.
The accelerated bridge loan repayment also facilitates SoftBank’s anticipated $30 billion subsequent investment in OpenAI, which would flow through SoftBank Vision Fund 2.
