Shares of ON Semiconductor rallied approximately 6% during Friday’s premarket session following the announcement that the company had fundamentally restructured its takeover agreement with Synaptics. The stock had settled at $80.08 in the previous trading session.

The companies have now completely restructured the transaction to an all-cash format. Synaptics shareholders will receive $123 in cash for each share held, bringing the total acquisition value to approximately $5.7 billion.
The reduced valuation emerged after a third partyāwhose identity remains undisclosedāsubmitted an unsolicited competing proposal for Synaptics. Rather than triggering an escalating auction, the situation prompted both companies to negotiate terms they viewed as more favorable.
Why the Cash Deal Makes Sense for ON
Shareholders of ON avoid the equity dilution that the original share-issuance structure would have created. This change eliminates a significant concern that had pressured the stock since the June announcement.
According to the company, the restructured transaction will immediately enhance non-GAAP earnings per share. This represents a significant improvement over the initial framework, which was not projected to be accretive in the near term.
ON had previously identified $200 million in annual cost synergies from combining operations. Management now indicates additional opportunities exist, including revenue synergies and the potential to internalize certain Synaptics manufacturing activities.
The transaction will be funded through existing cash reserves combined with debt financing arranged through Morgan Stanley. Notably, the deal contains no financing contingency, removing another potential obstacle to completion.
What Synaptics Investors Get
Synaptics CEO Rahul Patel characterized the cash structure as delivering certainty for investors. “We are providing value certainty at a premium as compared to current value,” he stated.
The arrangement involves a clear compromise. Synaptics shareholders forfeit potential participation in the merged entity’s future performance, but receive guaranteed payment instead.
Following the announcement, Robert W. Baird analyst Tristan Gerra maintained a Hold rating on ON stock with a $108 price target. The broader analyst community assigns ON a Moderate Buy consensus rating, while Synaptics holds a Hold consensus.
Market timing also played a favorable role. Micron’s better-than-expected earnings results released the previous evening had already boosted semiconductor stocks broadly, creating additional momentum for ON’s announcement.
Treasury yields simultaneously retreated from recent peaks that same morning, alleviating some pressure on growth-oriented equities.
The acquisition still requires approval from Synaptics shareholders as well as clearance from multiple regulatory bodies. While the FTC has already provided its authorization, reviews in additional jurisdictions continue.
The companies are targeting a mid-2027 closing date. Between now and then, both stocks are likely to move in response to updates regarding the approval process.
