Nvidia’s Monday disclosure of a 9.3% passive ownership stake in Nebius Group propelled NBIS shares upward by more than 6% during premarket sessions. Prior to this announcement, the stock had already delivered a 118% return year-to-date.
The ownership position consists of approximately 22.26 million Class A shares. This total encompasses 1.19 million directly held shares plus 21.07 million shares through pre-funded warrants restricted from exercise until September 11, 2026.
Nvidia’s position carries a “passive” designation, which prevents the chipmaker from leveraging this stake to sway Nebius’ corporate strategy or pursue activist initiatives against the organization.
This filing expands upon Nvidia’s $2 billion capital commitment to Nebius revealed in March, at which time it controlled an 8.3% stake. The recent 13G submission increased that ownership level to 9.3%.
The announcement created positive momentum across other neocloud sector participants. Both CoreWeave and Iren experienced upward price movement in early market activity following Nvidia’s regulatory filing.
Wall Street Upgrades Pour In
Nvidia’s stake disclosure arrived shortly after Nebius finalized a $775 million credit arrangement collateralized by its AI GPU infrastructure portfolio and contractual customer commitments. This financing structure enables growth initiatives while avoiding shareholder dilution.
Freedom Capital’s Paul Meeks upgraded NBIS to Buy from Hold while increasing his valuation target to $200 from $159. His analysis forecasts Nebius’ revenue expanding 41 times over between 2025 and 2028.
Northland Securities’ Nehal Chokshi took an even more optimistic stance. He maintained his Buy recommendation while boosting his price objective from $248 to a Wall Street-leading $410.
Chokshi emphasized that the debt financing arrangement demonstrated Nebius’ ability to secure funding without equity issuance — addressing a key investor apprehension. His analysis suggests the company warrants valuation multiples comparable to competitor CoreWeave.
Analyst Sentiment Overview
Analyst opinion remains somewhat divided. NBIS holds a Moderate Buy rating consensus on TipRanks, reflecting five Buy recommendations alongside three Hold ratings.
The consensus price objective stands at $252.86, indicating approximately 38.5% appreciation potential from present trading levels.
Nebius operates as an AI-centric cloud infrastructure provider headquartered in Amsterdam, established through a Yandex spinoff. The organization aims to achieve computing capacity exceeding 5 gigawatts by 2030’s conclusion.
Nebius maintains a customer relationship with Nvidia while occupying the neocloud category alongside CoreWeave — enterprises constructing data center infrastructure expressly designed for AI computational demands.
Northland Securities’ $410 Street-high valuation target constitutes the most optimistic forecast for the stock following Monday’s regulatory disclosure.
