Anthropic has filed for an initial public offering with the US Securities and Exchange Commission. The company submitted its S-1 registration on Monday, Oct. 26. The move starts the process of taking the company public.
It plans to list its Class A common stock on the Nasdaq Global Select Market. The filing suggests pricing could come in mid-November. Anthropic makes the AI assistant Claude.
Anthropic was founded in 2021 by former executives of OpenAI. Dario Amodei is its co-founder and CEO.
What the filing shows
Anthropic reported $16.3 billion in revenue for the first half of 2026. It also posted a net loss of $80.7 billion over the same period. The loss was about five times the revenue.
The company held $112.4 billion in cash and equivalents as of June 30. It also had $19.3 billion in short-term investments. Together, that totals about $131.7 billion.
Anthropic said it expects infrastructure spending to rise sharply. It warned that this could put pressure on future cash flows.
Enterprise adoption has expanded rapidly. By Sept. 30, more than 1,900 customers had generated at least $1 million in trailing annual revenue, and about 250 of them generated more than $10 million.
The share count and price range have not been disclosed. Anthropic has not said how many shares it plans to sell. Earlier reports said it could raise up to $100 billion at a $2 trillion valuation.
The Financial Times reported that investors expect a valuation between $1.5 trillion and $1.75 trillion. That is lower than the $2 trillion in earlier reports. Fox Business reporter Liz Claman said a Nov. 19 or 20 pricing remains on track.
In the filing, Anthropic called AI āone of the most consequential technologies in human history.ā It said the technology could speed up scientific work and bring cures for major diseases within reach.
The risk factors section carries a warning. It says advanced AI systems could pose catastrophic or existential risks if misused, weaponized or left without proper safeguards.
OpenAI has delayed its own IPO plans. CEO Sam Altman reportedly said in September that 2026 was an āill-advised momentā to go public. His comment came ahead of Anthropicās filing.
