Leading cryptocurrency liquidity provider Wintermute has successfully registered its American subsidiary as a licensed broker-dealer under the oversight of the Securities and Exchange Commission and the Financial Industry Regulatory Authority.
Operating from New York, Wintermute USA LLC has secured authorization to execute equity transactions, trade options contracts, deliver liquidity services to American securities platforms, and function as an authorized participant for exchange-traded products, including funds linked to cryptocurrency assets.
The development was disclosed on Thursday, August 7, 2026.
Understanding Broker-Dealer Authorization
Firms holding broker-dealer status are entities registered under SEC and FINRA regulations, empowering them to conduct securities transactions on behalf of customers while also trading proprietary positions.
Wintermute USA has additionally secured self-clearing capabilities for digital asset securities trades. This authorization provides the organization with enhanced autonomy over its American market trading infrastructure.
Within the ETF ecosystem, authorized participants serve a critical function. They generate and eliminate substantial ETF share blocks through exchanges involving the underlying security basket, maintaining alignment between a fund’s market price and its actual net asset value.
Strategic Push Into Tokenized Asset Markets
According to Wintermute, the broker-dealer registration aligns with the company’s outlook on tokenized securities market expansion. The organization has been actively moving into this territory, launching market-making services for tokenized gold products and supplying liquidity to prediction market platforms earlier this year.
While the SEC has encouraged blockchain innovation, regulators have emphasized that deploying securities on distributed ledgers doesn’t create regulatory exemptions. The commission has consistently maintained that blockchain-based securities operations require appropriate licensing.
Founder and CEO Evgeny Gaevoy noted the company has consistently anticipated that digital asset markets would extend beyond cryptocurrency boundaries.
“Digital assets and traditional finance will continue to develop in parallel, intersect in new ways, and ultimately integrate more deeply,” Gaevoy said. “As the landscape evolves, the firms that succeed will be those that have technical and operational know-how to operate in both.”
Based in London, Wintermute currently processes approximately $10 billion in daily average trading volume. The firm maintains operations spanning more than 60 centralized and decentralized trading platforms worldwide.
Wintermute USA will establish its base in New York, functioning as the company’s central command for expanded American operations spanning both conventional and digital asset sectors.
This regulatory milestone represents a significant advancement in merging cryptocurrency market-making capabilities with established financial market infrastructure throughout the United States.
