On Monday, Tempus AI unveiled plans to acquire Personalis through an all-cash transaction totaling $1.5 billion. The $16.25-per-share purchase price delivers a 5.6% premium compared to Personalis’ $15.39 closing price from the previous Friday.
Market participants responded negatively to the news. TEM shares declined 8.8% to settle at $47.81, while Personalis tumbled 9.4% to finish at $13.90. Trading volume surged for both securities as prices dropped considerably.
The selloff sent TEM underneath its 50-day moving average of $51.40 ā a technical threshold closely monitored by market participants. The stock has now declined 18% year-to-date in 2026 and is experiencing its fourth consecutive session of losses.
According to Tempus, the acquisition will enhance its capabilities to assist cancer patients throughout their entire journey ā from initial diagnosis through treatment phases, ongoing monitoring, and detecting potential recurrence. Since Tempus already maintains a 12.5% ownership position in Personalis, this transaction converts the existing partnership into complete ownership.
Personalis CEO Chris Hall described the transaction as delivering optimal results for stakeholders. “Following a comprehensive evaluation process, we believe Tempus’ proposal delivers maximum value for our shareholders and represents the most expedient route to making Personalis’ cutting-edge diagnostic tests available to cancer patients,” Hall stated.
Tempus projects the acquisition will finalize by year-end 2026 or during the first quarter of 2027.
Wall Street Analysts Remain Divided
The stock decline notwithstanding, not all market observers maintain pessimistic views on TEM. BTIG Research maintains a buy recommendation with an $80 price objective. TD Cowen similarly assigns a buy rating. Conversely, Jefferies has issued an underperform designation with a $35 target, and Wall Street Zen recently lowered its recommendation to sell.
In aggregate, nine analysts recommend buying TEM, four suggest holding, and two have assigned sell ratings. The overall consensus stands at “Hold” with a mean target price of $68.92 ā significantly above current trading levels.
Tempus delivered better-than-anticipated results in its latest quarterly report. The company reported EPS of -$0.13, surpassing the consensus estimate of -$0.21. Revenue reached $348.12 million, marginally exceeding the $345.44 million forecast, and representing a 36.1% year-over-year increase.
The company continues operating at a loss, with a net margin of -22.2% and return on equity of -53.83%. Wall Street analysts project full-year EPS of -$1.35.
