SpaceX has successfully completed its $60 billion takeover of Anysphere, the firm responsible for developing the AI-powered coding assistant Cursor. The completion was disclosed through an SEC Form 8-K submission and represents what industry observers regard as the biggest startup acquisition in history.
The agreement was executed entirely through equity, with SpaceX distributing roughly 391 million shares of its Class A stock. Existing Cursor shareholders received 389.3 million SpaceX shares in exchange, while SpaceX also absorbed outstanding restricted stock awards and employee options.
Shares of SpaceX (SPCX) increased 1.5% following the disclosure, reaching $143.45. The merger became effective on August 14, marking two months since SpaceX initially revealed the planned transaction.

Cursor debuted in 2023 as an artificial intelligence companion aimed at enabling software engineers to write and troubleshoot code with greater efficiency. The platform rapidly became one of the tech sector’s fastest-expanding startups and emerged as a flagship offering during the industry’s “vibe coding” movement.
The platform contributed to surging interest in AI-driven development environments, enabling engineers to construct software applications through conversational prompts.
SpaceXAI Unit Emerges
Following the reorganization, Cursor will function as a fully controlled subsidiary within SpaceX’s freshly renamed “SpaceXAI” segment. The Cursor development team now enjoys access to SpaceX’s powerful Colossus computing infrastructure.
The unified operation has already introduced a beta release of an offering named “Grok Bot.” Market analysts anticipate the Cursor branding will gradually be retired as the Grok identity takes precedence.
SpaceXAI, which previously functioned under the xAI designation, had minimal revenue-generating products prior to this transaction. The division also experienced multiple workforce reductions and organizational changes in the months preceding the acquisition.
Analyst Perspectives
Morgan Stanley reaffirmed its $300 baseline valuation for SpaceX stock after the transaction closed. The investment bank estimates the Cursor integration could contribute approximately $13 billion to SpaceX’s top line by 2027.
This acquisition places SpaceX in more direct competition with Anthropic and OpenAI within the rapidly evolving AI tools sector. Cursor provides SpaceX with a market-tested commercial offering backed by a loyal developer community.
The transaction reached closure precisely two months after SpaceX initially disclosed it had struck an agreement to acquire Anysphere.
