On August 10, Ondas (ONDS) finalized its purchase of Cyberhawk, integrating a drone-based inspection and artificial intelligence data platform into its current autonomous systems operations.
The transaction carried a price tag of $118.2 million paid in cash, supplemented by 581,700 common stock units. Shares distributed to Cyberhawk’s selling parties are subject to a one-year lock-up period, with further restrictions on trading extending through 18 months.
ONDS stock advanced approximately 4% following the announcement, hovering around the $9.50 mark. Over the trailing week, shares have climbed roughly 5%, with momentum building alongside the deal’s completion.
From a technical standpoint, ONDS is changing hands near its intraday peak around $9.50. The MACD indicator has flipped decisively bullish, while trading volume has expanded in tandem with the price appreciation.
That said, the RSI indicator is hovering around 75, placing shares in overbought range. This technical setup suggests potential for a brief retracement before any continued upward movement materializes.
Cyberhawk’s Strategic Value for Ondas
Cyberhawk provides a drone-based inspection platform utilized by infrastructure owners and operators worldwide. The company’s offerings encompass visual data management systems, artificial intelligence-powered analytics tools, and comprehensive inspection services.
Its client roster spans utilities, energy producers, renewable energy operators, mining companies, and industrial facilities. This established customer network now becomes part of Ondas’ broader business portfolio.
According to CEO Eric Brock, the transaction is anticipated to drive accelerated expansion throughout high-value critical infrastructure and industrial segments. He emphasized enhanced data utilization and artificial intelligence integration across operations as central objectives.
Ondas currently maintains operations in defense, homeland security, public safety, and industrial sectors through its autonomous systems division. Cyberhawk’s addition introduces a software and services component that complements the company’s hardware-centric foundation.
Equity Compensation for New Team Members
As part of the acquisition process, Ondas authorized equity compensation packages for 47 employees joining the organization.
These packages consist of 1,601,593 restricted stock units alongside options to acquire 1,290,000 units with a strike price of $9.11 per share.
The restricted stock units follow three distinct vesting timelines. The majority—1,097,687 units—vest on a semi-annual basis spanning two years. An additional 460,000 units begin vesting one-third on August 10, 2027, followed by eight equal quarterly distributions. A smaller allocation of 43,906 units vested immediately upon closing.
Stock options vest one-third beginning August 10, 2027, then distribute across 24 equal monthly increments thereafter. All vesting schedules require ongoing employment.
These grants were authorized under Nasdaq Rule 5635(c)(4)’s inducement grant provision, which permits equity compensation for newly hired personnel without requiring shareholder consent.
Ondas indicated it will submit a Current Report on Form 8-K to the SEC documenting the acquisition details.
At the time of disclosure, ONDS was trading around $9.50, approaching its session peak, with trading volume running above recent averages.
