ACV Auctions Transaction Closed, Adding Wholesale Capabilities to Copart Platform
Copart disclosed the finalization of its ACV Auctions purchase on October 16, 2026. This deal merges Copart’s digital vehicle auction infrastructure with ACV’s wholesale automotive marketplace expertise. The unified operation now spans dealer trade-in channels, wholesale vehicle distribution, salvage sales, and cross-border remarketing activities.
This strategic move aligns with Copart’s ambition to deepen its footprint throughout the used vehicle ecosystem. ACV’s contribution includes proprietary technology platforms, extensive dealer partnerships, and wholesale auction know-how that complement Copart’s current service offerings. These combined resources enhance Copart’s capacity to support commercial vehicle sellers, automotive dealerships, and buyers operating in diverse market segments.
Jay Adair, Chief Executive Officer of Copart, characterized the deal as a significant milestone in the company’s expansion roadmap. Management anticipates that integrating these operations will drive greater efficiency while diversifying vehicle remarketing solutions. Copart intends to leverage its physical yard network and global marketplace infrastructure to bolster ACV’s ongoing business activities.
Cash Tender Offer at $10.50 Per Share Successfully Completed
Copart executed the acquisition through its wholly owned entity, Apple Merger Sub, via an all-cash tender offer process. The company presented ACV stockholders with $10.50 per share, paid in cash without interest and net of any required tax withholdings. The tender offer window closed at 5:00 p.m. Eastern Time on October 15, 2026.
Shareholders submitted 116,818,409 shares of ACV common stock ahead of the expiration deadline, constituting roughly 68.43% of all outstanding shares. Copart accepted these tendered shares and processed payment according to the transaction’s specified terms. Following this, the company executed a merger to acquire all remaining ACV shares at the identical cash consideration.
After the merger’s completion, ACV common stock ceased trading on the New York Stock Exchange. ACV will maintain operations as a standalone Copart subsidiary, preserving its current management structure. George Chamoun, Chief Executive Officer of ACV, will remain at the helm as the business pursues further growth initiatives.
Wholesale Dealer Network Integration Strengthens Copart’s Market Position
This acquisition pushes Copart’s service portfolio beyond its core salvage vehicle auction specialty. ACV delivers wholesale remarketing infrastructure and dealer networks that mesh with Copart’s nationwide yard facilities and international buyer base. These combined platforms create new distribution pathways for vehicle transactions across multiple segments of the automotive value chain.
Copart engaged Evercore as its financial advisor alongside Wilson Sonsini Goodrich & Rosati for legal representation. J.P. Morgan Securities served as ACV’s financial advisor and issued a fairness opinion regarding the transaction terms. Davis Polk & Wardwell provided legal counsel to ACV, while both organizations utilized separate strategic communications consultants throughout the process.
The concluded transaction establishes Copart as a more comprehensive platform for processing used vehicles and dealer stock. ACV’s ongoing independence as a subsidiary maintains its established management team and commercial partnerships intact. Copart begins its next expansion chapter equipped with enhanced wholesale market access and an enlarged vehicle remarketing infrastructure.
