Shares of Alphabet (GOOG) advanced 0.96% during Monday’s trading session, settling at $340.16 before ticking up another 0.13% to $340.60 in extended hours. Concurrently, AIBotics finalized its acquisition of operating assets from NovaCore Labs, bolstering its artificial intelligence mapping and robotics capabilities in Jamaica. The deal encompasses equipment previously deployed in Google Street View initiatives and positions the company for broader Caribbean market penetration.
AIBotics Finalizes NovaCore Asset Purchase for Regional Technology Expansion
Through an asset purchase agreement, AIBotics secured NovaCore Labs operating assets from PlayJamaica Limited. The transaction reinforces the company’s Jamaican footprint and creates infrastructure for delivering technology services throughout the region. Moreover, AIBotics intends to extend operations across the Caribbean Community market bloc.
The asset package encompasses six commercial drones, 10 service robots, and three field generators. AIBotics also gained Google Street View mapping tools, a specialized mapping vehicle, and proprietary operational processes. These capabilities will underpin commercial mapping projects, robotics deployments, drone applications, and digital infrastructure initiatives.
According to the Caribbean Economic Outlook 2026, the region’s economic output sits near $420 billion. The forecast anticipates average real GDP expansion of 3.4% among principal regional economies. As a result, AIBotics aims to capitalize on commercial prospects spanning government entities, private enterprises, and technology service sectors.
NovaCore Plans Enhanced LiDAR Mapping and Commercial Drone Deployments
NovaCore’s prior involvement in Jamaica’s Google Street View mapping program leveraged its geospatial technology expertise. Moving forward, the company seeks to augment those competencies through artificial intelligence integration and LiDAR applications. Planned offerings encompass infrastructure assessment, surface identification, and digital asset cataloging.
The company intends to broaden commercial drone operations across targeted industry verticals and institutional clients. Acquired hardware and software platforms will enable field implementations, automation initiatives, and customer installations. Furthermore, NovaCore plans to build out technical laboratory facilities for client demonstrations and operational assistance.
NovaCore has established collaborative ties with the University of Technology and the University of the West Indies Global Campus. These academic partnerships facilitate technical instruction, hands-on demonstrations, apprenticeship opportunities, and workforce capability building. The company aims to deepen these relationships while cultivating regional proficiency in robotics and mapping technologies.
Acquisition Framework Features Performance-Based Earn-Out Provisions
AIBotics distributed 22,500 Series B preferred shares carrying a combined stated value of $225,000 as consideration for the acquired assets. The transaction framework also incorporates contingent future payments totaling up to $3 million across a four-year period. These supplementary payments depend on NovaCore’s ability to reach designated cumulative revenue thresholds.
The performance milestones are set at $500,000, $1.5 million, $3 million, and $5 million in cumulative revenue. Each successfully achieved target unlocks $750,000 in additional preferred-stock compensation under the deal terms. Meanwhile, Gregory Moore has been appointed to oversee the acquired business as president of the operating subsidiary.
AIBotics and Moore have jointly developed a financial plan calling for $1 million in capital allocation during the next 12 months. These funds will support operational growth, technical infrastructure buildout, and commercial service launches. While NovaCore’s background includes Google Street View mapping work, the announcement does not signal a fresh Alphabet collaboration.
