The California-headquartered firm generated $1.944 billion from an at-the-market stock offering, distributing 29.3 million shares to investors. This fundraising represents a critical milestone in advancing the combined cash-and-equity transaction to purchase Iridium.
When combined with Iridium’s current debt obligations and Rocket Lab’s existing cash position, the aerospace company confirms it possesses adequate resources to satisfy all cash obligations, settle specific Iridium liabilities, and address associated transaction costs.
Securities regulators declared the equity offering’s registration statement effective on August 26, 2026. That same day, Iridium submitted its definitive proxy materials, formally initiating the stockholder voting procedure.
Company Scraps Bridge Financing
In a strategic financial move, Rocket Lab canceled the $3.6 billion senior secured bridge facility established in June 2026. Bridge financing typically carries high costs and brief terms, making its elimination beneficial for maintaining a more efficient capital configuration.
The bridge arrangement was initially secured when both parties executed the merger agreement on June 28, 2026. Following successful completion of the stock offering, this temporary financing mechanism became obsolete.
Meanwhile, Iridium renegotiated its current $1.775 billion credit facility to accommodate the ownership transition inherent in the acquisition. The term loan’s outstanding balance reached $1.775 billion at the end of June 2026.
Loan Guarantee Framework
According to the revised credit terms, Rocket Lab USA, Inc., the primary operational entity, will extend an unsecured guarantee covering the Iridium term loan after transaction completion.
This arrangement provides reassurance to Iridium’s creditors while avoiding the requirement for Rocket Lab to pledge tangible assets, which proves valuable when maintaining post-merger financial adaptability.
The acquisition remains on track for mid-2027 completion, subject to standard regulatory reviews and Iridium shareholder approval.
Iridium shares (IRDM) increased 1.09% on the announcement, a measured response suggesting investors view this development as a procedural financing update rather than substantive deal modification.
Should the merger not materialize for any reason, or if surplus funds remain after closing, Rocket Lab indicated it would allocate the capital toward expansion initiatives, additional acquisitions, and general operational requirements.
