Modified Convertible Note Terms
GameStop has amended the structure of its $1.4 billion convertible-note exchange program affecting notes maturing in 2030 and 2032.
According to the updated arrangement, noteholders will obtain roughly 55.5 million GameStop shares combined with $358.4 million in cash consideration. The initial proposal involved an all-stock structure.
The modified structure ensures no additional equity issuance beyond the previously determined 55.5 million shares. The deal is scheduled to finalize approximately September 3.
Following completion of the exchange program, roughly $2.8 billion in convertible notes will continue to remain on the balance sheet.
