Shares of Nebius Group experienced a robust 7.1% surge during Wednesday’s pre-market session, rebounding forcefully after a six-consecutive-day losing streak that had trimmed roughly 24% from the stock’s valuation.
The recent decline had been fueled by market anxiety surrounding the company’s planned debt issuance. However, those concerns evaporated quickly when the final figures were announced.
Nebius successfully completed its convertible notes transaction at $5.75 billion, substantially exceeding the initially announced $4.5 billion objective. This significant oversubscription demonstrates robust institutional demand for Nebius securities in the current market environment.
The capital raised will be allocated toward expanding data center infrastructure, acquiring GPUs, and advancing development of the company’s comprehensive AI cloud platform.
Goldman Sachs Establishes Wall Street’s Highest Forecast
On August 25, Goldman Sachs elevated its price objective for NBIS from $286 to $328, establishing the most bullish target among Wall Street analysts, while maintaining its Buy recommendation. This revision provided additional momentum for the stock entering Wednesday’s trading session.
The target increase coincided with the company’s Annual General Meeting, during which shareholders greenlit all 16 proposals presented for consideration.
These proposals encompassed board member reappointments, authorization to issue additional Class A shares, and permission to waive pre-emptive subscription rights and repurchase up to 20% of outstanding shares.
The latter provision generated some investor skepticism. Concerns about potential dilution and the possibility of additional capital raises pressured the stock in the trading session immediately following the AGM, causing it to decline despite Goldman’s concurrent target elevation.
Industry Tailwinds Provide Additional Support
The broader neocloud sector is currently attracting significant investor interest. Nebius reported second-quarter revenue expansion of 454% on a year-over-year basis. CoreWeave similarly posted impressive financial performance. IREN represents the final major neocloud provider yet to announce results, with its quarterly report scheduled for release today.
Market participants are establishing positions in advance of that announcement, and this industry-wide enthusiasm is providing lift to NBIS shares.
Broader market conditions are also favorable. The Nasdaq has advanced more than 1% while the S&P 500 is posting gains near 0.5%, creating a supportive environment for high-growth AI infrastructure companies.
It bears mentioning that Nebius continues to operate with negative cash flow. Substantial capital expenditures on data centers and GPU acquisitions mean the path to sustainable profitability remains unproven. Operational execution challenges and potential financing headwinds represent ongoing risks.
The stock has climbed 165% year to date, with current capitalization standing at $57.34 billion and typical daily volume averaging approximately 21.6 million shares.
Having resolved the debt uncertainty, secured Wall Street’s most optimistic analyst forecast, and navigated a successful AGM, NBIS approaches Thursday’s trading with favorable momentum.
