The offering size grew from its initial $4.5 billion proposal and consists of two distinct note tranches. NBIS stock declined 9.87% to close at $223.90, followed by an additional 1.74% decrease to $220.00 during pre-market hours.
Convertible Note Transaction Details
Nebius Group completed pricing on $3 billion worth of 0.50% convertible senior notes with a 2030 maturity date. Additionally, the company issued $2 billion in 4.50% convertible senior notes maturing in 2034. The transaction exclusively targets qualified institutional buyers via a private placement under Rule 144A.
Settlement of the offering is scheduled for August 24, pending satisfaction of customary closing conditions. The company provided purchasers with additional options to buy up to $450 million in 2030 notes. Buyers may also acquire an extra $300 million of 2034 notes during the designated option exercise window.
Following deductions for fees and projected offering expenses, Nebius anticipates receiving approximately $4.94 billion in net proceeds. Should purchasers fully exercise the additional options, total net proceeds could climb to roughly $5.68 billion. This expanded financing package provides Nebius with substantial capital to support its infrastructure ambitions.
Infrastructure Investment Strategy
The company intends to allocate proceeds toward sustaining business expansion and funding substantial infrastructure initiatives. Nebius specifically highlighted data center construction, facility expansion, and acquisition of critical computing hardware. A portion of the capital will also support general corporate operations.
This investment strategy aligns with Nebius Group’s objective to scale computing capabilities throughout its expanding network of data centers. The additional funding will facilitate equipment acquisitions and development of new facilities. GPU procurement represents a significant component of the company’s capital expenditure roadmap.
Both note series rank as senior unsecured obligations and feature semi-annual interest payments. The first interest payment date is scheduled for February 15, 2027, according to the respective indentures. U.S. Bank Trust Company has been appointed as trustee for both note offerings.
Conversion Terms and Share Dilution Impact
The 2030 notes feature an initial conversion price of approximately $313.46 per Class A share. This conversion threshold reflects a 40% premium relative to the August 19 closing price of $223.90 for NBIS. The 2034 notes establish a higher initial conversion price of around $324.65 per share.
This 2034 conversion benchmark represents a 45% premium above the identical August 19 reference price. Upon maturity with full accretion, the effective conversion prices increase to approximately $344.81 and $405.82, respectively. These elevated levels translate to effective conversion premiums of roughly 54% and 81.3%.
Nebius simultaneously arranged to exchange $800 million in outstanding convertible notes for approximately 15.8 million Class A shares. Holders receiving these shares may liquidate positions or rebalance associated hedging strategies in public markets. This exchange mechanism could create additional short-term selling pressure on NBIS shares, even as it bolsters Nebius Group’s long-term capital structure for expansion initiatives.
