The graphics chip manufacturer revealed its 9.3% beneficial ownership in Nebius Group via a combination of direct equity and a sizable pre-funded warrant instrument.
GPU Manufacturer Secures Major Nebius Ownership
Nvidia documented beneficial control of 22,256,412 Class A ordinary shares of Nebius in regulatory Schedule 13G paperwork submitted Monday. The documentation specified July 13 as the triggering event date necessitating comprehensive ownership transparency. The semiconductor leader indicated exclusive voting authority and dispositive control across the complete reported holdings, with no shared ownership arrangements in place.
The aggregate position encompasses 1,190,476 directly held shares alongside 21,065,936 shares connected to a pre-funded warrant instrument. Nvidia obtained this warrant directly from Nebius on March 11 as part of a substantial private placement arrangement. Securities regulations require inclusion of these warrant-linked shares since Nvidia maintains the ability to acquire them within a 60-day window from the July 13 trigger date.
Nevertheless, contractual provisions prevent Nvidia from executing the warrant or disposing of associated shares prior to September 11. The warrant instrument features a nominal exercise price of $0.0001 per share and includes standard contractual adjustment mechanisms. Nebius retains flexibility to fulfill the warrant obligation through either existing treasury stock or freshly issued Class A ordinary shares.
Multi-Billion Dollar Capital Injection Fuels Cloud Growth
Nebius secured approximately $2 billion in total proceeds via the private placement transaction linked to Nvidia’s warrant arrangement. The cloud infrastructure provider intends to allocate these funds toward enhancing its comprehensive AI cloud platform and constructing greenfield data center facilities. The capital injection simultaneously reinforces a strategic collaboration centered on hyperscale cloud infrastructure serving AI-focused enterprises and large-scale corporate clients.
Nvidia selected Schedule 13G filing rather than Schedule 13D because the investment represents a passive ownership stance. The company affirmed it did not purchase the securities with intent to alter or exert influence over Nebius corporate governance. The regulatory filing additionally identified Nvidia as the sole reporting entity and verified that no affiliated ownership consortium currently exists.
Nebius functions as an Amsterdam-headquartered cloud platform delivering model training capabilities, infrastructure orchestration, and production deployment solutions for enterprise clientele. The March transaction incorporates a six-month lockup preventing warrant disposition and underlying share transfers absent prior written consent from Nebius. This filing and financing arrangement strengthen Nvidia’s operational relationship with Nebius while simultaneously expanding capacity for enterprise-scale cloud computing infrastructure.
