Shares of Nuburu, Inc. (BURU) plummeted 39.21% to $0.0727 even though the company successfully retired roughly $16.75 million in total principal debt. This debt elimination came on the heels of a recently closed $38 million public capital raise and wiped out substantial financial liabilities. Concurrently, the organization pushed forward with its defense sector growth initiatives centered on the pending Tekne acquisition and associated compliance procedures.
Company eliminates total debt following capital raise
NUBURU disclosed the complete settlement of the outstanding $15.5 million principal balance from its December 2025 debenture instrument. Additionally, the firm paid off the full $1.25 million principal associated with convertible notes originally issued in connection with the Lyocon S.r.l. transaction. These combined settlements extinguished approximately $16.75 million in total principal liabilities.
The debt retirement occurred just days following the conclusion of the company’s $38 million equity offering. Consequently, zero principal balance remains under either financing arrangement. Furthermore, this action permanently eliminates the recurring monthly amortization payments associated with the debenture structure.
The settlement also terminates the obligation to funnel equity-line proceeds specifically toward debt obligations. As a result, Nuburu gains flexibility to deploy additional resources toward operational needs and strategic growth initiatives. Management characterized these repayments as the initial completed objective following the successful equity raise.
Available capital earmarked for Tekne deal and defense initiatives
Nuburu intends to deploy remaining net proceeds toward meeting financial guarantee obligations related to Italy’s Golden Power regulatory examination. The organization aims to complete its planned acquisition of a 70% majority stake in Tekne S.p.A. This transaction awaits regulatory clearance and satisfaction of additional closing prerequisites.
The company additionally intends to allocate available funds toward working capital needs and transaction-related costs. Leadership plans to facilitate near-term implementation of its comprehensive Defense and Security operating platform. This approach integrates software solutions, photonics technology, electronic warfare systems, CEMA functionalities, defense mobility assets, and sophisticated manufacturing operations.
Leadership emphasized that retiring the debt streamlines the organization’s capital framework. They noted the completed settlements fulfilled promises made following the recent financing activity. Meanwhile, the company redirected primary attention toward finalizing the Tekne transaction and broadening its comprehensive defense business operations.
OTC market trading persists during NYSE American appeal process
Nuburu’s equity securities remain available for trading on the OTC Pink marketplace under the BURU symbol following the halt of NYSE American trading activities. The organization maintains its status as a fully compliant reporting entity under Securities and Exchange Commission regulations. Management indicated the current trading platform does not impact capital already secured or debt settlements already executed.
The organization anticipates providing ongoing market updates via regulatory submissions, formal press releases, and investor relations channels. Leadership reiterated that available proceeds will fund the proposed Tekne transaction and related financial obligations. These plans remain contingent upon regulatory authorizations and transaction completion requirements.
Nuburu also intends to file a prompt appeal requesting reconsideration of the NYSE Regulation staff decision. Additionally, the company continues assessing potential strategies to remedy its share price deficiency. The stated goal remains achieving compliance restoration and resuming NYSE American trading privileges under applicable exchange rules and current market circumstances.
