Shares of Werewolf Therapeutics (HOWL) skyrocketed 127% in Friday’s premarket session to $0.9780 following the biotech’s disclosure of two major corporate transactions.

The primary announcement involves an all-stock merger agreement with Ambros Therapeutics. Following completion, the newly formed organization will adopt the Ambros Therapeutics identity and trade on the Nasdaq exchange using the symbol “AMBX.”
Concurrent with the merger disclosure, both companies revealed they’ve successfully raised $150 million through private placement funding. The oversubscribed financing round attracted co-leadership from RA Capital Management and Janus Henderson Investors, while Aberdeen Investments, Adage Capital Partners, and Balyasny Asset Management joined as additional participants.
According to company projections, the capital infusion will support operations through the completion of topline data from the pivotal CRPS-RISE Phase 3 clinical trial anticipated in 2028. Management expects the merged company’s cash reserves to sustain operations into early 2029.
Addressing an Unmet Medical Need
The strategic combination centers on advancing neridronate, an investigational therapy for patients suffering from warm CRPS-1. Approximately 65,000 Americans receive CRPS-1 diagnoses annually, yet no FDA-approved treatment options exist for this debilitating condition.
Neridronate has secured FDA Breakthrough Therapy, Fast Track, and Orphan Drug designations. The compound already holds regulatory approval in Italy for CRPS and related indications, with an estimated 600,000 Italian patients having received treatment.
According to Ambros Therapeutics, the company’s intellectual property estate, when paired with Orphan Drug exclusivity, could provide U.S. market protection extending through 2045.
The transaction assigns Ambros an implied valuation of $500 million, while Werewolf carries a pre-financing valuation of $47.5 million. Upon transaction completion, ownership will be distributed with Ambros shareholders controlling approximately 71.7%, Werewolf shareholders holding roughly 6.8%, and private placement investors owning about 21.5% of the combined entity.
Subject to shareholder approval from both companies, the merger is projected to finalize during the first quarter of 2027.
EMD Serono Acquires Werewolf’s Preclinical Portfolio
In an independent deal, Werewolf finalized an asset purchase arrangement with EMD Serono Research & Development Institute, a division of Merck KGaA (MKKGY), executed on August 14 and made public through an August 20 regulatory filing.
The agreement stipulates EMD Serono will provide $28 million in immediate payment plus $5 million following successful technology transfer completion. The transaction encompasses Werewolf’s preclinical INDUCER technology platform along with select INDUKINE assets.
Werewolf preserved all necessary rights to continue advancing its WTX-124 and WTX-330 clinical-stage programs. Additionally, EMD Serono provided Werewolf with exclusive licensing rights to specific transferred patent assets supporting those ongoing development efforts.
As of Friday’s premarket trading, HOWL exchanged hands at $0.9780, representing a 127% gain for the session.
