The Tokyo-based firm disclosed its intention to deploy 2,100 Bitcoin alongside $2.5 million cash to secure majority ownership of Super League Enterprise, currently trading on the Nasdaq exchange.
Upon transaction completion, Super League will undergo a corporate transformation, adopting the name Superplanet and the stock ticker SUPA. The restructured entity will function as Metaplanet’s American-focused Bitcoin treasury operation.
According to Metaplanet CEO Simon Gerovich, this arrangement establishes a “two engines” framework for Bitcoin acquisition activities. While Metaplanet maintains its capital-raising operations in Japanese markets, Superplanet will access American investors, with particular emphasis on perpetual preferred share offerings.
The allocated 2,100 BTC constitutes approximately 5% of Metaplanet’s aggregate holdings of 43,000 BTC. Based on prevailing market valuations, this Bitcoin allocation equals roughly $135 million. Importantly, this transaction involves repositioning existing assets rather than acquiring additional Bitcoin.
Transaction Framework and Terms
Following completion, Metaplanet will control approximately 95.7% of Superplanet’s common equity, with shares valued at $3 each. The investment package also encompasses preferred shares and warrant instruments, while Metaplanet will appoint five members to the nine-seat board of directors.
Metaplanet’s equity position in the reorganized company will be subject to a five-year lock-up period. Super League’s existing operations in gaming, content creation, and advertising will continue functioning within the new corporate framework.
Funds generated by either entity may be deployed to strengthen the consolidated Bitcoin treasury approach. Additionally, Superplanet will possess the capability to pursue acquisition opportunities within the United States that might be inaccessible to its Japanese parent company.
Transaction finalization is projected for the fourth quarter of 2026, contingent upon Super League shareholder authorization.
Investor Response and Trading Activity
Super League’s stock price experienced a dramatic surge exceeding 85%, reaching $5.66 on announcement day. Daily trading volume exploded to approximately 37.3 million shares, representing a nearly 95-fold amplification compared to the previous day’s volume of roughly 393,000 shares.
Metaplanet’s equity also appreciated, finishing the session 5.07% higher at 228 JPY. Throughout the trading day, shares fluctuated within a range of 224 to 238 JPY.
Within the global landscape of corporate Bitcoin ownership, Metaplanet occupies the third position. The company trails Twenty One Capital by approximately 500 BTC. Twenty One Capital benefits from backing by major industry players including Tether, Bitfinex, and SoftBank.
Strategy, helmed by Michael Saylor, maintains its position as the world’s largest corporate Bitcoin custodian with holdings exceeding 840,000 BTC. In recent months, Strategy has executed selective Bitcoin sales to finance dividend distributions and stock buyback programs.
Metaplanet’s most recent Bitcoin acquisition occurred in early July. Financial results for the first half of 2026 demonstrated impressive performance, with revenue expanding 133.7% and operating profit growing 136.3% on a year-over-year basis.
Final deal execution remains dependent on standard closing conditions, including securing approval from Super League’s shareholder base.
