AI Financial Corp., previously operating under the name ALT5 Sigma, has submitted a going concern notification to the SEC following a dramatic one-third valuation collapse of its World Liberty Financial token portfolio during the opening quarter of 2026.

The organization acquired 7.28 billion WLFI tokens during August 2025 at a total investment of roughly $1.46 billion, representing a per-token cost of $0.20. However, by March 28, 2026, the market valuation of these digital assets had plummeted to merely $706.4 million.
This sharp decline generated an unrealized impairment of $348.3 million throughout Q1 exclusively. When factored with additional operational expenses, AI Financial disclosed a comprehensive net loss of $271.5 million for the 13-week period concluding March 28 — a dramatic escalation from the $2.4 million deficit recorded during the equivalent timeframe in the previous year.
The corporation’s operational revenue reached $4.7 million, derived exclusively from its fintech payment processing operations.
Liquidity Concerns Mount
Available cash reserves measured $10.5 million at quarter’s end. Approximately $3.5 million of these funds were already earmarked for a pending litigation settlement. Overall current obligations totaling $39.1 million exceeded current assets valued at $32.2 million.
Company leadership conceded these metrics “raise substantial doubt” regarding the organization’s capacity to maintain operations as a going concern throughout the upcoming 12-month period.
To address immediate financial requirements, AI Financial secured a $15 million credit facility from World Liberty Financial during January 2026, receiving $14.2 million in net proceeds after origination charges. The financing arrangement carries a 4.5% annual interest assessment and is secured by WLFI token collateral.
Lock-Up Restrictions Prevent Asset Sales
Despite maintaining substantial token holdings on its balance sheet, AI Financial faces severe constraints on monetization. The complete 7.28 billion WLFI token position remains encumbered by contractual transfer restrictions. A portion consisting of 3.53 billion tokens faces a mandatory 12-month holding period prohibition. The balance of 3.75 billion tokens necessitates both shareholder authorization and completion of a resale registration process before any disposition becomes permissible.
WLFI controls approximately 46% of AI Financial’s fully diluted ownership structure, positioning it simultaneously as both creditor and principal stakeholder.
AI Financial’s chairman Zachary Witkoff simultaneously serves as co-founder and chief executive officer of WLFI. Fellow board member Zachary Folkman also holds co-founder status at WLFI.
The corporation has subsequently completed the acquisition of Block Street Corp. and executed a letter of intent regarding the potential purchase of Dectec, an enterprise focused on decentralized technology solutions.
AIFC shares traded near $0.91 during Tuesday’s session following the regulatory filing, representing approximately a 9.6% intraday decline. Share prices have contracted roughly 87.5% throughout the trailing 12-month period.
