Shares of GoDaddy experienced a dramatic spike of up to 11% during Thursday’s trading session following a Financial Times report revealing that Gen Digital has initiated preliminary discussions to acquire the web hosting giant. The sharp price movement prompted trading authorities to temporarily pause the stock due to volatility.
Meanwhile, Gen Digital experienced an inverse market reaction, with shares declining roughly 8% during the same trading period.
According to the Financial Times, Gen Digital submitted its initial proposal within the past several weeks. Sources indicate negotiations remain in their infancy, with no assurance that a transaction will materialize.
Gen Digital operates well-known cybersecurity brands including Norton 360, LifeLock, CCleaner, and ReputationDefender. The entity emerged from the 2022 combination of NortonLifeLock and Avast.
Both organizations have maintained silence regarding the speculation. When contacted by Barron’s, a GoDaddy spokesperson stated the company maintains a policy of not discussing merger and acquisition activity. Gen Digital similarly refused to provide commentary.
Strategic Rationale Behind the Potential Deal
GoDaddy manages approximately 81 million domain names across its platform. This represents nearly 20% of the global domain registration market.
The platform serves over 20 million small business owners, content creators, and entrepreneurial ventures. For a cybersecurity-focused organization like Gen Digital, this extensive customer network presents significant opportunities to integrate antivirus software and identity theft protection services alongside domain registration and web hosting offerings.
Gen Digital currently maintains a market capitalization of approximately $15.7 billion. GoDaddy holds a valuation near $12.2 billion, meaning any completed acquisition would rank among the largest transactions in Gen Digital’s corporate history.
The Financial Times report provided no details regarding financial terms. Neither pricing information nor deal structure has been disclosed publicly.
GoDaddy’s Challenging Market Performance
This acquisition interest emerges amid a challenging period for GoDaddy shares, which had declined approximately 15% year-to-date prior to Thursday’s rally. Part of this downward pressure stems from investor concerns that artificial intelligence-powered website creation platforms might undermine GoDaddy’s proprietary AI offering, known as Airo.
Airo enables users to develop websites and marketing assets through an AI-driven virtual assistant interface. Market participants have expressed skepticism about whether emerging competitive AI solutions could erode Airo’s market position.
However, not all analysts share these apprehensions. Oppenheimer’s Ken Wong expressed confidence in Airo’s performance last month, citing increased customer expenditure and successful product cross-selling initiatives. Wong maintains a Perform rating on the stock.
Wong additionally highlighted management’s disciplined approach to expense management while simultaneously delivering shareholder value through stock repurchase programs.
Competitor Wix.com also benefited from the news, with shares advancing more than 2%. Market observers interpret this movement as speculation that industry consolidation could extend beyond just GoDaddy.
Currently, the market remains in a waiting pattern. No formal agreements have been reached, and both organizations continue to refrain from public statements. Additional clarity will likely emerge only if negotiations advance sufficiently for either party to formally acknowledge or dismiss the potential transaction.
