Ripple has completed a $275 million senior unsecured note offering to bolster its prime brokerage platform throughout U.S. financial markets. The debt placement, executed through Ripple Prime via private channels, attracted participation from institutional investors across key market segments. These funds will advance the firm’s capabilities in financing, clearing operations, and comprehensive multi-asset institutional services.
Ripple Prime Secures New Funding for Market Expansion
Ripple Prime intends to deploy the capital toward working capital needs and general corporate functions within its regulated operations. The division aims to enhance its service delivery across prime brokerage functions, client financing, clearing infrastructure, and associated institutional offerings throughout American markets. Details regarding note maturity dates, interest rates, or specific investor identities remain undisclosed.
KBRA assigned the senior notes a BBB investment-grade rating, consistent with its prior issuer rating for Ripple Prime. Piper Sandler acted as lead placement agent, facilitating the private transaction among institutional market participants. This capital infusion provides additional resources for technological advancement, workforce development, and financial infrastructure buildout.
Ripple launched Ripple Prime following the closure of its $1.25 billion Hidden Road acquisition in October 2025. Hidden Road previously operated as a global multi-asset prime broker serving institutional clients including hedge funds, proprietary trading firms, and market makers. The platform processed approximately $3 trillion in annual clearing transactions for over 300 institutional participants prior to the merger.
Total Capital Infusion Hits $475 Million
This senior note issuance builds upon a $200 million credit facility that Ripple Prime obtained in May. Neuberger Berman-managed funds extended that credit line to enhance lending capabilities for institutional brokerage customers. Combined, these two capital transactions have delivered up to $475 million in financing capacity to Ripple Prime since spring.
Each funding instrument fulfills distinct functions within the brokerage’s evolving capital framework. The Neuberger Berman credit line facilitates client lending activities tied to borrowing demands across various asset classes. Conversely, the $275 million private placement delivers unsecured corporate capital for wider operational growth and general business needs.
Prime brokerage platforms demand substantial capital reserves as clients regularly finance trading positions and secure margin loans against their holdings. These operations also involve collateral management spanning equities, debt instruments, currencies, derivatives products, and digital assets. Ripple Prime offers cross-margining capabilities, enabling eligible clients to consolidate risk management across multiple positions through a unified brokerage interface.
Ripple Builds Out Institutional Service Platform
Ripple has integrated components of its blockchain technology with prime brokerage functions following the Hidden Road transaction. Institutional clients may utilize Ripple USD, trading under the ticker RLUSD, as accepted collateral within Ripple Prime accounts. The firm is also working to migrate certain post-trade settlement procedures onto the XRP Ledger as system integration progresses.
Ripple Prime has broadened its connectivity to conventional financial market infrastructure within the United States. Hidden Road secured FINRA broker-dealer registration in April 2025, prior to Ripple finalizing the takeover. This regulatory approval enabled enhanced brokerage services, client financing options, and clearing functions for institutional participants engaged in fixed-income trading.
Ripple has diversified beyond its core blockchain payment solutions through multiple significant acquisitions starting in 2025. The firm completed a $1 billion purchase of GTreasury and acquired payments technology provider Rail for $200 million. This latest $275 million capital raise supplies Ripple Prime with additional resources to advance its footprint across U.S. institutional financial services markets.
