Investment management giant Grayscale has submitted an S-1 registration document to the Securities and Exchange Commission, seeking approval for what would mark the United States’ first spot Worldcoin exchange-traded fund. The proposed product is slated for Nasdaq listing with the ticker GWLD.

Monday’s regulatory submission expands Grayscale’s cryptocurrency investment vehicle portfolio to 18 products. The firm’s current offerings provide exposure to major digital assets such as Bitcoin, Ether, Solana, XRP, Dogecoin, and Chainlink.
According to the filing, BitGo Bank & Trust will handle custody responsibilities for the fund’s WLD token holdings. BNY Mellon has been designated to provide administrative and transfer agent services, with CSC Delaware Trust Company filling the trustee role.
The initial registration statement omits certain operational details, including management fee structure, seed capital amounts, authorized participant identities, and liquidity provider arrangements. Grayscale indicated the fund will operate with in-kind creation and redemption mechanisms.
Understanding the Worldcoin Project
Worldcoin operates as an ERC-20 token on the Ethereum network. The digital asset powers the World ecosystem, which employs biometric authentication technology to distinguish human users from artificial intelligence and bot accounts.
The initiative was co-launched by Sam Altman, who simultaneously leads OpenAI as chief executive. This strategic connection to the artificial intelligence sector has generated significant market interest in the cryptocurrency over recent months.
The ETF launch is contingent upon WLD meeting Nasdaq’s generic listing criteria. This regulatory pathway enables accelerated deployment compared to traditional approval processes for cryptocurrency investment products.
Market Response to ETF News
The WLD price experienced an upward movement exceeding 4% following the announcement. Trading data from TradingView showed the token hovering near $0.376 during reporting hours.
While Monday delivered positive returns, the token remains underwater by more than 10% across the seven-day period. Selling pressure has intensified following media reports suggesting OpenAI may postpone its initial public offering beyond 2025.
WLD’s upward momentum coincided with strength across cryptocurrency markets. Bitcoin simultaneously breached the $65,000 threshold for the first occasion in several weeks.
This ETF application arrives days after T. Rowe Price introduced the market’s first actively managed cryptocurrency fund, featuring diversified holdings including Bitcoin and Ethereum.
Grayscale previously launched Hyperliquid ETF products, positioning GWLD as the latest expansion in its growing digital asset investment vehicle lineup.
