Ondas Inc. (ONDS) concluded a busy Monday by announcing the finalization of two strategic acquisitions, securing complete control of 4M Defense Ltd. while simultaneously closing its purchase of Rotron Aerospace Ltd., a United Kingdom-based aerospace firm.
The completion of the 4M Defense transaction gives Ondas total ownership of Chirokka Holding Ltd., the Israeli entity that serves as 4M Defense’s parent organization. Ondas had previously secured a 70% majority position in October 2025. The final 30% stake was acquired through the issuance of 352,968 shares of ONDS common stock, with potential additional consideration of up to $1.4 million in shares contingent upon achieving specified performance targets.
The share recipients face trading limitations designed to prevent sudden market impact. According to the agreement terms, shareholders are prohibited from selling more than 10% of ONDS’s average daily trading volume during any individual trading session, using the prior ten-day trading period as the calculation baseline.
The shares issued fall under Regulation S exemption provisions of the Securities Act of 1933. Ondas indicated that a supplemental prospectus filing will be submitted to the SEC enabling resale under the prescribed trading limitations.
4M Defense has already contributed meaningful revenue streams to Ondas. The Israeli subsidiary obtained an initial $15.8 million contract within an Israeli demining initiative, representing the opening phase of a potentially $60 million nationwide land-clearance program.
Rotron Aerospace Brings UK Operations
Concurrently on Monday, Ondas announced the completion of its Rotron Aerospace transaction. The UK-based enterprise specializes in unmanned aerial vehicles, vertical takeoff and landing platforms, extended-range drones, aero-engine technology, and comprehensive propulsion solutions.
Rotron will function as Ondas’ United Kingdom operational hub within the Ondas Autonomous Systems division, establishing both a UK manufacturing presence and cultivating connections with the UK Ministry of Defence.
Ondas CEO Eric Brock highlighted that Rotron’s propulsion expertise and engineering competencies “significantly expand the endurance and operational reach of next-generation autonomous systems.”
Gilo Cardozo, who founded Rotron and serves as CTO, expressed that the acquisition provides his organization with the infrastructure required to commercialize its technology portfolio.
Ondas plans to disclose comprehensive financial information regarding Rotron during its earnings presentation scheduled for March 25, 2026.
Background: Ondas’ Aggressive Expansion
These acquisitions represent part of a broader strategic initiative. Ondas has executed an aggressive expansion strategy through multiple transactions. The company has also finalized its acquisition of BIRD Aerosystems, an Israeli defense contractor specializing in airborne missile defense solutions deployed by the U.S. Army and NATO forces.
Additionally, Ondas established a collaborative arrangement with Palantir Technologies and World View Enterprises focused on developing artificial intelligence-powered intelligence, surveillance, and reconnaissance (ISR) capabilities.
Previously, Ondas pre-released preliminary results showing fourth-quarter revenue growth of 600% compared to the prior-year period, and disclosed a $175 million combination with Mistral Inc., a government contracting integration firm.
Stifel maintained its Buy recommendation on ONDS, referencing the company’s operational momentum and transaction pipeline.
ONDS shares have appreciated nearly 1,276% during the past year, expanding market capitalization to approximately $4.86 billion. According to InvestingPro analysis, the stock currently trades above its Fair Value estimate, with a beta coefficient of 2.58 reflecting elevated volatility characteristics.
The upcoming March 25, 2026 earnings presentation is anticipated to provide detailed financial projections related to the Rotron acquisition.
