Shares of Metaplanet (MMTPLF) have gained roughly 6% over the past week of trading, though the Japanese firm’s stock continues to lag significantly, down approximately 26% since January. The Bitcoin-focused treasury operation is navigating dual challenges: implementing a fresh revenue model while managing shareholder concerns about corporate transparency.
The company disclosed Monday that it offloaded 10,000 BTC during the third quarter, realizing approximately $790 million in proceeds. Following that sale, management immediately reacquired 11,000 BTC at a cost of roughly $950 million.
According to the firm, this circular transaction served to “demonstrate liquidity.” In plain terms, leadership wanted to establish that it maintains the operational capability to convert Bitcoin into fiat currency on demand, rather than operating as a pure accumulation vehicle.
When the dust settled, Metaplanet reported total Bitcoin reserves of 44,000 BTCāa net quarterly increase of 1,000 coins. This position keeps the company firmly in second place among publicly traded Bitcoin treasury entities, behind only Strategy under Michael Saylor’s direction.
Because the sale price fell below acquisition cost, the transaction generated a capital loss under U.S. tax regulations. The company projects a deferred tax asset worth approximately $97 million, pending final verification from its independent auditors.
Pivoting Toward Yield Generation
This week also brought the introduction of Metaplanet’s net interest income framework. The initiative leverages capital raised through preferred share offerings, corporate debt instruments marketed as “BitBonds,” and a lending facility backed by Bitcoin collateral.
These funds will flow into vehicles designed to generate consistent returns. Management intends to capture the differential between income produced by these holdings and the financing costs associated with raising that capital.
The updated asset allocation policy maintains 85% to 90% of the balance sheet in Bitcoin. The balanceābetween 10% and 15%āis earmarked for strategic opportunities, encompassing this income initiative, potential acquisitions, and the company’s asset management division.
Revenue from Metaplanet’s Bitcoin options trading operations totaled $5.4 million in the third quarter. That figure represents a sharp decline from the $11.1 million recorded in Q2, and management acknowledged performance has “fallen short” of internal benchmarks. Despite this shortfall, the company has maintained its full-year revenue guidance.
Ownership Questions Trigger Investor Pushback
The strategic pivot hasn’t won universal approval. Last Friday, the company filed five amended regulatory documents correcting earlier statements that suggested CEO Simon Gerovich controlled majority voting power in MMX Ventures, an entity holding Metaplanet shares.
The revisions sparked immediate criticism from certain investors. Pseudonymous shareholder Bitcoin Pharaoh publicly demanded that Metaplanet disclose the actual beneficial owners of MMX Ventures and provide clarity regarding a 23.8% interest previously associated with Gerovich.
“Either the indirect holding is his, in which case the deleted sentence was closer to the truth, or it is not, in which case the correction is incomplete,” the investor posted on X.
The controversy arrives on the heels of a turbulent September. Leadership had initially expanded the Series 10 executive stock option program by nearly seven times its original size, triggering accusations of excessive shareholder dilution.
Following blowback, the company slashed that pool by 41%, eliminating over $220 million in warrant exposure. Asset manager VanEck nevertheless contended that dilution had already inflicted harm on shareholders and urged more aggressive corrective action.
Metaplanet’s market-to-NAV ratio, which benchmarks stock valuation against Bitcoin reserves, has remained below parity since October 2025. As of Monday’s Tokyo close, the metric registered at 0.80x.
Any reading beneath 1.0 signals that shares trade at a discount to the underlying Bitcoin the company controls. This discount environment complicates efforts to raise additional capital through equity issuance, constraining future growth options.
