Shares of Swarmer (SWMR) advanced 4.9% in Thursday’s premarket session following the company’s disclosure of a binding acquisition agreement to purchase Ratel Robotics, a Ukrainian manufacturer of unmanned ground vehicles, for a maximum value of $224 million through a combination of cash and equity.

This transaction represents Swarmer’s most significant acquisition since Erik Prince assumed the role of board chairman.
Under the terms outlined, Swarmer will deliver approximately $7.2 million in cash alongside 1,064,942 stock units to Ratel’s shareholders at the transaction’s completion. The agreement also incorporates contingent considerations of up to $7.2 million in additional cash payments and as many as 4,422,125 supplementary stock units, contingent upon achieving specified performance benchmarks throughout the 2026-2028 timeframe.
The selling shareholders will face a six-month restriction period on the issued equity. Swarmer has also committed to providing registration rights to facilitate future secondary sales once the company achieves Form S-3 eligibility.
The transaction completion is anticipated for Q4 2026, contingent upon shareholder authorization for the equity component, regulatory approvals, and other customary closing requirements.
Ratel Robotics operates a diverse range of modular unmanned ground vehicles that have been validated through active combat deployment. The company’s product lineup serves multiple operational purposes including supply transport, medical evacuations, surveillance, drone deployment platforms, and mine clearance activities.
The Ukrainian robotics firm has accumulated contracts valued at $86 million year-to-date and is actively engaging with several NATO member countries through the “Build With Ukraine” program.
Ratel’s unmanned ground vehicles represent approximately 37% of the 11 billion UAH (approximately $246.85 million) allocated by Ukraine’s Ministry of Defense Procurement Agency toward UGV contracts during the period from January 1 through April 18, 2026. This constitutes a substantial portion of a rapidly expanding procurement sector.
Broadening Swarmer’s Autonomous Systems Portfolio
This acquisition will incorporate Ratel’s comprehensive lineup of combat-validated UGVs into Swarmer’s current autonomous drone software infrastructure. According to Swarmer, the integration aims to deliver what the company characterizes as adaptable, cross-compatible operational solutions.
Swarmer reported that its technology has facilitated over 100,000 active combat operations in Ukraine beginning in April 2024.
Ratel Robotics maintains a workforce exceeding 300 employees. The entire team is anticipated to transition to Swarmer following deal completion, elevating the merged entity’s total personnel count to approximately 500.
Management Configuration Following Transaction
Taras Ostapchuk, who founded and currently leads Ratel Robotics as CEO, will continue in his executive capacity post-acquisition and will report directly to Alex Fink, who serves as President and U.S. CEO of Swarmer.
The transaction framework is engineered to synchronize Ratel’s management team incentives with post-merger operational results through the extended earnout mechanism.
Swarmer indicated it is actively working toward obtaining necessary regulatory authorizations and shareholder approval for the equity issuance elements, maintaining focus on a Q4 2026 transaction closure.
