Shares of Solstice Advanced Materials (SOLS) traded at $65.33 during Friday’s midday session, reflecting a 16% gain after the company disclosed it would abandon its proposed merger with Element Solutions (ESI).

When first revealed in early July, the proposed transaction combined cash and equity components and would have approximately doubled Solstice’s overall footprint. The strategic rationale centered on merging Solstice’s refrigerant and nuclear fuel divisions with Element Solutions’ semiconductor manufacturing operations, creating a diversified entity spanning three critical segments of the artificial intelligence infrastructure: chip production, data center cooling, and energy generation.
Market reaction to the deal was decidedly negative. SOLS shares tumbled from levels exceeding $80 prior to the announcement down to beneath $57 before Friday’s session. Element Solutions experienced similar headwinds, declining from above $42 to $36.52 by Thursday’s market close.
Both corporate boards reached unanimous decisions to dissolve the merger agreement. The termination included no financial penalties for either party. Solstice Chairman Rajeev Gautam noted that extensive shareholder feedback made it abundantly clear that maintaining separate corporate structures represented the optimal path forward.
Chief Executive David Sewell emphasized the company “respects our shareholders’ views,” while expressing “great confidence” in Solstice’s independent strategic roadmap.
Company Launches $500M Repurchase Initiative and Maintains Outlook
Concurrent with the merger termination, Solstice unveiled its inaugural share repurchase program, providing authorization for up to $500 million in open-market stock buybacks.
Management also reiterated its 2026 financial outlook, projecting total revenue ranging from $4.125 billion to $4.185 billion, alongside adjusted earnings per share targets of $2.75 to $2.95.
RBC analyst Arun Viswanathan had originally favored the transaction, contending the post-announcement stock decline exceeding 20% was excessive and that the acquisition multiple of approximately 21 times EBITDA appeared favorable relative to comparable companies valued at 25 to 30 times. Following the cancellation, however, he stated he “applauds” leadership’s choice to pursue organic expansion instead.
UBS analyst Joshua Spector characterized the deal termination as beneficial for both companies’ equity holders. BMO analyst John McNulty identified Solstice as an “undervalued and compelling way to invest in the high-growth uranium, electronics, and refrigerant markets.”
Analyst Community Perspective
Gordon Haskett analyst Don Bilson, who specializes in merger arbitrage and event-driven situations, suggested Element Solutions’ leadership faced significant obstacles in securing necessary shareholder approval for the transaction. He characterized the termination decision as prudent.
The analyst community currently assigns Solstice a Strong Buy consensus rating, derived from five Buy recommendations and one Hold rating issued within the last three months. The mean twelve-month price objective stands at $78.17, suggesting approximately 18% appreciation potential from present levels.
Element Solutions shares advanced a modest 0.2% Friday. The broader S&P 500 index posted a 0.4% gain during the session.
Solstice reached $65.33 in midday action, with its newly authorized $500 million buyback program operational and full-year financial guidance unchanged.
