Company Finalizes 30-to-1 Share Consolidation Plan
The Beyond Meat’s board of directors chose the 1-for-30 consolidation ratio after evaluating thirty different options authorized by shareholders during an earlier special meeting. The corporate restructuring will officially take effect at 11:59 p.m. Eastern Time on Wednesday, August 13, 2026. Shareholders can expect to see split-adjusted shares trading when the Nasdaq opens for business on Thursday, August 14, with the company retaining its current BYND ticker.
When the consolidation becomes operative, shareholders will see every thirty existing shares automatically combined into a single new share. Beyond Meat has stated it will not distribute fractional shares; instead, registered shareholders eligible for fractional positions will receive the next whole share up. Brokerage firms and financial institutions holding shares in street name may implement their own protocols for handling fractional share adjustments.
Simultaneously, the company is dramatically reducing its authorized common stock from three billion shares down to just 100 million. This reduction will bring total authorized capital stock from approximately 3.0005 billion shares to 100.5 million shares. According to company statements, these structural modifications will preserve the par value of common stock and maintain proportional voting rights for shareholders.
Strategic Move Targets Exchange Listing Requirements
The primary motivation behind Beyond Meat‘s reverse split centers on regaining compliance with Nasdaq’s minimum bid price standards for continued exchange listing. By consolidating shares at this ratio, the company artificially elevates its per-share market price while proportionally reducing outstanding share count. Importantly, this mechanical adjustment doesn’t alter the company’s fundamental market capitalization or any individual shareholder’s percentage ownership.
Beyond the share consolidation, the company will make corresponding adjustments to various securities and instruments tied to its common stock.
