Shares of Intel (INTC) declined over 3% during Monday’s premarket session following the semiconductor manufacturer’s announcement of a proposed $15 billion underwritten common stock offering.
The premarket weakness reflects investor concerns about share dilution, as the equity issuance will expand the company’s outstanding share count. With Intel stock having surged more than 100% year-to-date in 2026, the chipmaker is capitalizing on its elevated valuation to secure funding for strategic initiatives.
According to the company, proceeds from the offering will be allocated toward general corporate activities, capital investments, and working capital requirements. Intel is currently engaged in an aggressive expansion of its foundry services division, which provides contract manufacturing for external clients.
Earlier in July, Intel boosted its 2026 capex outlook from $18 billion to $20 billion. The revision reflected surging demand for AI-focused computing capabilities that exceeded the firm’s existing production capacity.
Foundry Business Gains Traction
Intel’s foundry operations have been steadily gaining commercial traction. The company has secured Tesla as a client for its advanced 14A process technology, with mass production expected to commence in 2028.
Company leadership had previously indicated that the 14A node’s future depended on securing a significant external partner. That uncertainty appears to have diminished considerably.
Market speculation intensified regarding another major client after President Trump publicly stated that Apple would manufacture processors through Intel. However, neither company has officially validated this arrangement.
Intel’s strategic focus encompasses several high-growth segments: physical AI applications, custom silicon solutions, advanced chip packaging technologies, and third-party wafer manufacturing. Company executives report robust and consistent customer interest across these categories.
Transaction Structure
The stock offering features a greenshoe provision allowing underwriters to purchase an additional $2.25 billion worth of shares within a 30-day window at the public offering price, subject to standard commission deductions.
JPMorgan Securities, Goldman Sachs, Morgan Stanley, and Citigroup Global Markets serve as joint book-running managers for the transaction.
Intel has emphasized its commitment to financial prudence, ensuring capital deployment aligns with customer demand patterns and return on investment objectives. Management has also pledged to preserve the company’s investment-grade credit status.
The expanding AI agent market has significantly boosted demand for central processing units, a core competency for Intel. Company leadership has indicated that incoming orders are exceeding available manufacturing capacity.
Intel faces direct competition from TSMC in the foundry services market. This $15 billion capital raise represents one of the semiconductor industry’s largest equity offerings in recent memory.
