Shares of SciSparc Ltd. (SPRC) experienced explosive growth after its majority-owned subsidiary NeuroThera Labs obtained conditional clearance from the TSX Venture Exchange. The stock rocketed to $13.30, marking an impressive gain of $8.90, representing a 202.27% increase from its opening price near $4.40. This dramatic rally was triggered by significant advancement in NeuroThera’s acquisition plans involving CliniQuantum Ltd.
TSX Venture Exchange Grants Conditional Clearance to NeuroThera
According to SciSparc’s announcement, NeuroThera obtained conditional regulatory clearance from the TSX Venture Exchange for its proposed CliniQuantum deal. This approval represents a significant milestone, bringing the transaction closer to finalization, though additional requirements including final exchange acceptance and various closing conditions still need fulfillment. NeuroThera functions as a clinical-stage pharmaceutical development company under SciSparc’s majority ownership.
The transaction structure involves NeuroThera purchasing approximately 54% of CliniQuantum’s total issued and outstanding ordinary shares. Specifically, the acquisition encompasses 56,375 ordinary shares from selected selling shareholders. As compensation, NeuroThera will distribute 56.6 million of its common shares to these selling parties.
The shares being issued held a combined valuation of approximately $9.46 million. This figure was calculated using NeuroThera’s 20-day volume weighted average price on the TSX. Furthermore, following feedback from TSX reviewers regarding future share issuance provisions, both parties modified certain agreement terms.
Quantum-Based Clinical Trial Technology Through CliniQuantum Acquisition
CliniQuantum operates as a privately-held Israeli technology firm specializing in clinical trial data interpretation and analysis. The company leverages quantum simulation techniques alongside quantum Monte Carlo methodologies to enhance trial outcome accuracy. Its proprietary platform is designed to pinpoint patient subgroups most likely to benefit from experimental treatments.
CliniQuantum’s primary intellectual property consists of a licensing arrangement with Quantum X Labs Ltd. This agreement provides CliniQuantum with exclusive global rights on a royalty basis within its specified operational domain. The licensed intellectual property encompasses quantum simulation and quantum Monte Carlo technologies applied specifically to clinical trial environments.
The licensed patent portfolio includes one provisional patent application filed in the United States. This application centers on creating quantum Markov Chain Monte Carlo sampling points applicable to continuous distribution functions. Consequently, this deal positions NeuroThera to gain access to sophisticated data analytics capabilities for clinical research applications.
Transaction Timeline Extended by SciSparc and Partners
NeuroThera and the selling parties have mutually agreed to push the transaction completion deadline to June 1, 2026. This extension provides additional time for all parties to satisfy outstanding closing requirements. These prerequisites include obtaining an Israeli tax determination and receiving final acceptance from the TSX.
The modified agreement also establishes a minimum price threshold for future common share issuances connected to earn-out milestone payments. NeuroThera has committed that such shares will maintain a deemed valuation of no less than $0.05 per share. Additionally, selling shareholders are required to finalize lock-up agreements as a precondition to closing.
SciSparc advances pharmaceutical development initiatives through NeuroThera and associated operational entities. The company’s development portfolio features cannabinoid-based therapeutic programs addressing Tourette syndrome, agitation in Alzheimer’s patients, autism spectrum disorder, and status epilepticus. SciSparc also maintains a controlling ownership position in a hemp seed oil consumer product venture operating on Amazon’s marketplace.
